We’ll pull back the curtain on a Main Street business transaction and show you what really happens from the first conversation to the closing table.

We’ll cover normalized earnings, valuation, buyers, LOIs, deal structure, diligence, financing, negotiations, retrading and the other moving pieces that determine whether a deal actually gets done. Theory is worthless without the real-world mechanics behind it.

Part 2: WE'LL EXAMINE A SAMPLE COMPANY STEP-BY-STEP

Then we’ll give you the financials, facts and background for a sample Main Street company and start working the deal.

You’ll dig into what the business really earns, what it might actually be worth, who might buy it, what those buyers see, and what an offer really means once you get past the headline number. This is where you put what you just learned to work.

Part 3. FOLLOW THE DEAL TO THE CLOSING TABLE

An accepted offer isn’t the finish line.

We’ll keep working the sample transaction through diligence, financing, negotiations and the issues that surface along the way so you can see how decisions made earlier in the deal affect what happens later.
